Affiliate Agreement
Last updated: October 8, 2026
This Agreement governs participation in the Regenerate WholeBody Affiliate Program. Please read carefully. By selecting "I agree" when applying to the program, or by promoting Regenerate WholeBody products using an affiliate code or link issued to you, you agree to the terms outlined here.
1. Parties
"Company": Regenerate WholeBody (operating under Wholebody Solutions), 15 Braintree Hill Office Park Suite 101, Braintree, MA 02184.
"Affiliate": The individual or entity who applies to the Regenerate WholeBody Affiliate Program, accepts this Agreement by selecting "I agree" in the application, and is approved by Company.
2. Program Overview
Affiliate will promote Regenerate WholeBody products (currently: Mood) to their audience and receive commission on qualifying new customer purchases made through their unique tracking code or referral link.
3. Commission Structure
- Commission Rate: 15% of the net product sale value (before taxes, shipping, and any other discounts) on qualifying first-time customer purchases.
- Customer Discount: Affiliate's unique code provides the customer with 15% off their first order.
- Qualifying Purchase: A purchase made by a customer who has not previously placed an order with Company, made within 30 days of clicking Affiliate's referral link or entering Affiliate's code at checkout.
-
Non-Qualifying Purchases:
- Orders by existing customers (any prior Regenerate WholeBody purchase)
- Subsequent orders by customers referred by Affiliate (see Section 4)
- Self-purchases by Affiliate
- Orders that use a different discount code or stack with another promotion
- Orders subsequently refunded, cancelled, or returned
4. Attribution Model
First-Purchase Acquisition Only. Affiliate is entitled to commission on the first purchase made by a new customer using Affiliate's unique referral code or link. Subsequent purchases by that customer — including subscription renewals, repeat orders, or purchases of other products — do not generate additional commission.
This model reflects industry standard practice for affiliate programs (as distinct from revenue-share partnerships, which involve different compensation and commitments).
5. Cookie Attribution Window
Referrals are tracked via a 30-day cookie. If a customer clicks Affiliate's link, does not immediately purchase, but returns and purchases within 30 days without clicking another affiliate's link, the sale is attributed to Affiliate.
If multiple affiliate cookies are set, the most recent click wins.
6. Stacking Restrictions
Affiliate codes CANNOT be combined with:
- WELCOME10, WELCOMEBACK10, MOODFIRST10, HELLO15, or any other Company-issued welcome or first-purchase discount codes
- Subscription tier discounts
- Any other promotional codes or campaigns
Affiliate's customer discount applies to one-time purchases only. If a new customer referred through Affiliate's link chooses a subscription instead, the customer receives the standard subscription discount, and Affiliate earns commission on that customer's first subscription order only. Orders that combine Affiliate's code with another discount do not earn commission.
7. Payments
- Holding Period: 30 days from order date, to account for returns, cancellations, and refunds.
- Payment Method: Commissions are paid automatically through Shopify Collabs after the holding period. Affiliate sets up payout details in their Collabs account.
- Currency: USD only.
- Payment Responsibility: Affiliate is responsible for reporting affiliate income to relevant tax authorities. Company will issue a 1099-NEC form to U.S. affiliates as required by law.
- Tax Forms: U.S. affiliates submit a W-9 through Shopify Collabs before receiving payment.
8. Refunds, Returns, and Clawbacks
If a customer returns a product or receives a refund on a qualifying purchase, the associated commission will be deducted from Affiliate's next payout (clawback). Affiliate's dashboard will reflect the adjustment.
9. Prohibited Practices
Affiliate agrees NOT to:
- Make unauthorized medical, disease treatment, or cure claims about Regenerate WholeBody products (FDA/DSHEA compliance requirement)
- Include the words "cure," "treat," "prevent," or "diagnose" in reference to any disease or medical condition when promoting the product
- Post fabricated testimonials or before/after imagery
- Bid on Regenerate WholeBody brand terms, "Mood," or related keywords in paid search advertising (Google Ads, Bing, etc.) without prior written approval
- Send unsolicited email (spam) promoting the affiliate link
- Purchase Company products using their own affiliate code (self-referral)
- Represent themselves as an employee, agent, or spokesperson of the Company
- Use the Company logo, product imagery, or brand assets outside of approved brand guidelines (provided separately)
- Misrepresent the product's ingredients, formulation, or intended use
- Engage in any activity that could damage the Company's reputation or brand integrity
10. FTC Disclosure Requirement
Affiliate must comply with U.S. Federal Trade Commission (FTC) endorsement guidelines. All promotional content (social media, blog posts, videos, emails) referencing Regenerate WholeBody must clearly disclose the affiliate relationship. Recommended language: #ad, #affiliate, or "I earn a commission on purchases through my link" clearly visible in the content.
Failure to disclose can result in FTC action against both the affiliate and the brand. This is Affiliate's responsibility.
11. Brand Guidelines
Affiliate will receive access to the Regenerate WholeBody Affiliate Hub, which includes brand content guidelines, approved product imagery, approved messaging, and FDA-compliant claims language. Affiliate agrees to:
- Use only approved brand assets
- Follow approved messaging and claims language
- Submit any custom content referencing Company for review upon request
- Not modify or alter brand assets without approval
Any material misrepresentation of the brand, product, or founder Dr. Ann Doggett constitutes grounds for immediate termination and commission forfeiture.
12. Term and Termination
- Term: This Agreement takes effect when Company approves Affiliate's application and continues until terminated by either party.
- Termination by Affiliate: Affiliate may terminate at any time with 14 days' written notice to the Company.
- Termination by Company: Company may terminate this Agreement immediately, with or without cause, for any reason including but not limited to: violation of these terms, damage to brand reputation, prohibited practices, or business reasons.
- Effect of Termination: Upon termination, Affiliate's unique code will be deactivated. Any pending commissions earned before termination will be paid at the next scheduled payout, subject to the holding period. Post-termination commissions will not accrue.
13. Confidentiality
Affiliate agrees not to disclose Company's confidential business information, including sales performance data, internal metrics, unreleased product information, or business strategies, to any third party without written permission.
14. Independent Contractor Status
Affiliate is an independent contractor, not an employee, partner, or agent of the Company. This Agreement does not create a partnership, joint venture, or employment relationship. Affiliate is responsible for their own taxes, insurance, and business expenses.
15. Limitation of Liability
Company's total liability under this Agreement is limited to the amount of commissions earned by Affiliate in the 6 months prior to the claim. Company is not liable for any indirect, incidental, or consequential damages.
16. Modifications to Program
Company reserves the right to modify this Agreement, commission rates, program terms, or eligibility criteria at any time. Material changes will be communicated to Affiliate via email at least 14 days before taking effect. Continued participation constitutes acceptance of updated terms. Updated terms will be posted on this page with a new "Last updated" date.
17. Governing Law
This Agreement is governed by the laws of the Commonwealth of Massachusetts. Any disputes will be resolved in Massachusetts state or federal courts.
18. Entire Agreement
This Agreement, together with the Brand Content Guidelines referenced in Section 11, constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior discussions, understandings, or agreements.
19. Acceptance
Affiliate accepts this Agreement by selecting "I agree" when submitting an application to the Regenerate WholeBody Affiliate Program. Affiliate's acceptance, the date of acceptance, and the version of this Agreement in effect at that time are recorded with the application. This Agreement becomes effective upon Company's approval of the application.
